1. Introduction

Welcome to BA Copilot. These Terms and Conditions govern your use of our service. By using BA Copilot, you agree to these terms.

2. Service Description

BA Copilot is a business analysis tool that provides AI-assisted BPMN diagram creation and iteration. We operate as a digital service provider.

3. User Responsibilities

You are responsible for all activities under your account. You must not use BA Copilot for any illegal or unauthorized purpose.

4. Data Privacy and Security

We respect your privacy. Marketing tracking and marketing communications require the consent described in our Privacy Policy, and you can withdraw that consent at any time.

5. Intellectual Property

The content and software on BA Copilot are owned by or licensed to us and are protected by copyright laws. You may not modify, reproduce, or create derivative works based on our service.

6. User Content

You retain ownership of any content you submit to BA Copilot. We do not train our AI models on user-submitted content.

7. Local Edition Licences

The final BA Copilot Local Edition licence is a perpetual, non-exclusive licence to use the licensed version 1 edition. It is not a subscription. Each seat is for one named user. An individual licence belongs to that named user permanently and cannot be transferred or reassigned. An organisation licence belongs to the purchasing organisation and covers one named user per purchased seat.

Local Edition can use an on-device model, a model hosted on your own network, or a cloud provider you configure (bring your own model, or BYOM). Only on-device processing is fully local. If you choose a cloud or network provider, prompts and relevant process content are sent to that endpoint under its terms, and you are responsible for any provider, hosting, usage, or data-transfer charges. Because third-party models and endpoints change and their output is non-deterministic, support for BYOM is limited to the documented engine interface rather than every model or provider-specific behaviour.

The licence permits internal business use, day-to-day professional use, and work performed for clients. Each organisation key identifies the purchasing organisation and a stable seat number, not its initial user. The purchaser receives a copy of every seat key and is responsible for retaining it. The organisation may reassign a seat itself by first removing the key from the old user's devices and then giving the same key to the replacement user. No BA Copilot portal, licensing server, support request, or replacement key is required. Seat limits and reassignment duties are contractual; the offline key is not centrally metered. You must not share a seat between simultaneous users, resell a key, or redistribute or host BA Copilot Local as a product or service.

During the final paid sale, the price is $350 USD for an individual licence or $350 USD for each organisation seat. Individual purchases are card-only. Organisation purchases support card payment for 1–10 seats and invoice payment for 1–25 seats. The total payable is shown before payment. The final paid sale closes on 15 September 2026 at 23:59 Europe/London; an unpaid invoice or checkout does not extend that deadline.

A final-sale licence key is cryptographically verified on the device and does not require internet access, online activation, periodic validation, or a BA Copilot licensing server. Once issued, the key does not expire. “Lifetime” and “perpetual” refer to the right to use the licensed version 1 edition, not to the lifetime of any person, company, device, operating system, third-party model, or integration.

Where a Local Edition licence is provided automatically as the default closure option, the licence and its offline key are granted without requiring a new checkbox, claim, or acceptance step. The licence details in this section describe the permission granted with that key.

The licence does not include ongoing support, an SLA, guaranteed updates, compatibility updates, or a commitment to future development. Because an issued offline key cannot be remotely revoked, refund eligibility may end once immediate digital supply begins and the key is issued, where the law permits. This does not affect statutory rights that cannot legally be excluded.

The free AI generation tools on this site (for example the AI BPMN process map generator) give each browser 2 free generations on BA Copilot's own AI, with no account. After that you may continue in your browser with your own API key from a provider you choose, or with Local Edition under the free non-commercial licence. Both continuation routes are for non-commercial use only: personal, educational, research and evaluation use. Work for an employer or for clients is not covered.

When you use your own API key, BA Copilot relays your request to the provider you selected and returns the result. The relay exists because some providers do not accept requests sent directly from a web page. Your key, your prompt, and the generated output are used for that request only and are not stored, logged, or captured by BA Copilot. Your key is kept in your browser tab and the generated maps are kept in your browser only, so export what you need as you go. Your contract for the model, its output, and any charges is with that provider under its terms. The tools are provided as they are, without support or a commitment to future development.

8. Commercial Closure and Cloud Access

BA Copilot will cease commercial operations on 15 September 2026 at 23:59 Europe/London. Paid subscriptions will be cancelled as part of the closure. Editing, AI generation, imports, collaboration, and other active Cloud features may be disabled from that time.

Existing accounts may remain temporarily available in read-only mode so users have an additional opportunity to view, export, or delete their data and complete eligible closure or licence actions. This temporary access is not guaranteed and may later be withdrawn. Customer content may be permanently deleted after a separately announced retention period, subject to legal and accounting retention obligations described in the Privacy Policy.

9. Limitation of Liability

To the fullest extent permitted by law, BA Copilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Changes to Terms

We may update these terms from time to time to reflect changes in our services or for legal, regulatory, or security reasons. We will provide notice of any material changes through our website or via email at least 30 days before they become effective. If you do not agree with the updated terms, you have the right to stop using our services before the new terms come into effect. Your continued use of BA Copilot after the 30-day notice period constitutes acceptance of the updated terms. However, changes required by law will be effective immediately.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
