Welcome to BA Copilot. These Terms and Conditions govern your use of our service. By using BA Copilot, you agree to these terms.
BA Copilot is a business analysis tool that provides AI-assisted BPMN diagram creation and iteration. We operate as a digital service provider.
You are responsible for all activities under your account. You must not use BA Copilot for any illegal or unauthorized purpose.
We respect your privacy and do not share data with third parties for marketing purposes.
The content and software on BA Copilot are owned by or licensed to us and are protected by copyright laws. You may not modify, reproduce, or create derivative works based on our service.
You retain ownership of any content you submit to BA Copilot. We do not train our AI models on user-submitted content.
Local Edition is licensed software for use on one active device per named user at a time. A licence is not a subscription: it permits perpetual use of the purchased major version (currently version 1). The licence includes the right to use any updates to the purchased major version that BA Copilot makes generally available during the 12 months following purchase. It does not include a later major version unless we expressly say otherwise.
Local Edition can use an on-device model, a model hosted on your own network, or a cloud provider you configure (bring your own model, or BYOM). Only on-device processing is fully local. If you choose a cloud or network provider, prompts and relevant process content are sent to that endpoint under its terms, and you are responsible for any provider, hosting, usage, or data-transfer charges. Because third-party models and endpoints change and their output is non-deterministic, support for BYOM is limited to the documented engine interface rather than every model or provider-specific behaviour.
A Practitioner licence is permanently tied to the named individual entered at purchase. It may be paid for by that individual or another legal entity, but it cannot be shared or reassigned. A Business licence is owned by the purchasing organisation, remains for one named user at a time, and may be reassigned to another employee by contacting support@ba-copilot.com. Client work and internal company work are permitted under both tiers.
Launch pricing is limited to the advertised inventory and applies only to the qualifying initial order. Practitioner purchases are card-only. Business purchases support card payment for 1–10 seats and invoice payment for 1–25 seats; larger orders require an agreed quotation. Prices are stated in US dollars, and the total payable is shown before payment. An invoice request reserves launch-price inventory for seven days and may be cancelled if payment is not received in that period.
New Local Edition licences require online activation. The app obtains a signed machine licence lasting up to 30 days, attempts to refresh it during the final seven days, and allows a further seven-day grace period for temporary service outages. After that grace period, an internet connection is required to validate the licence. These checks do not upload your process maps to BA Copilot.
You may request a refund within 14 days of purchase only if no licence in the order has been activated. This restriction does not affect any statutory consumer rights that cannot legally be excluded. Approved refunds revoke the related licences.
To the fullest extent permitted by law, BA Copilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
We may update these terms from time to time to reflect changes in our services or for legal, regulatory, or security reasons. We will provide notice of any material changes through our website or via email at least 30 days before they become effective. If you do not agree with the updated terms, you have the right to stop using our services before the new terms come into effect. Your continued use of BA Copilot after the 30-day notice period constitutes acceptance of the updated terms. However, changes required by law will be effective immediately.
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
